HUL sells full stake in Wellbeing Nutrition for ₹307 crore; moves to fully own OZiva

India’s largest FMCG company, Hindustan Unilever Ltd (HUL), has completed the sale of its entire 19.8% stake in Nutritionalab (Wellbeing Nutrition) for approximately ₹307 crore.

In a regulatory filing, the company informed exchanges that, further to its letter dated February 12, 2026, it has completed the divestment of its full shareholding in Nutritionalab in accordance with the transaction documents executed among the parties.

In another development last month, in a separate filing dated February 12, 2026, HUL said its board approved the acquisition of the remaining 49% stake in Zywie Ventures Private Limited for ₹824 crore under a pre-agreed valuation framework.

Post completion, OZiva will become a wholly-owned subsidiary of the company. HUL expects both transactions to close by next month.

HUL had entered the health and wellbeing segment in 2022 through strategic investments, including the acquisition of a majority stake in OZiva and a 19.8% stake in Wellbeing Nutrition.

The latest moves come days after HUL, on February 18, announced a proposed investment of around ₹2,000 crore over two years to expand manufacturing capacity in premium categories across beauty & wellbeing and home care liquids.

In another development, the company completed the demerger of its ice cream business on February 16, after going ex-ice cream on December 5, with shareholders receiving one equity share of Kwality Wall’s India Ltd for every one share held in HUL. The ice cream division contributed roughly 3% to HUL’s overall revenue.

Shares of HUL ended today’s trade 2.6% lower at ₹2,260 on the NSE. The shares have given a negative YTD return of 2.7%.
