Max Financial Services Ltd (MFSL) is evaluating a corporate restructuring that could see it merge with its subsidiary Axis Max Life Insurance Ltd (AMLI) in a bid to unlock shareholder value and enable the insurer to be listed directly on stock exchanges.
In a regulatory filing, the company said it is considering a proposed amalgamation of MFSL with AMLI. If the plan goes through, AMLI will become a listed entity and shareholders of Max FS will receive shares in the life insurer, allowing them to hold the business directly instead of through the holding company structure.
Currently, MFSL holds 80.98% of AMLI, while Axis Bank and its subsidiaries, Axis Securities Limited and Axis Capital Limited, collectively own 19.02% of the life insurer.
“To maximise the value for the shareholders of the Company, the Company and AMLI are considering a proposal to undertake an amalgamation of the Company with AMLI,” Max Financial said in the filing.
The company’s board had granted in-principle approval for the proposed amalgamation on January 28, 2026.
The restructuring, however, remains subject to multiple approvals, including consent from the Axis Entities as per the shareholders’ agreement, regulatory clearances such as from the Insurance Regulatory and Development Authority of India (IRDAI), and execution of final transaction documents.

Axis Bank, Axis Securities and Axis Capital have provided an in-principle no-objection to the proposed amalgamation, subject to the continuation of existing terms under the transaction documents. To formalise this, Max Financial has issued an undertaking confirming that these terms will remain unchanged.
The company added that the proposed amalgamation is currently the preferred option among a set of previously agreed “Future Arrangements” aimed at unlocking value in AMLI.
If the merger does not go through within the agreed timelines, Axis Entities will have the right to evaluate other options, including share swaps, exit sale mechanisms or triggering an IPO process for the insurer.
As part of these arrangements, Max Financial has committed to evaluate options for listing AMLI by December 31, 2026, with the listing expected to be completed no later than April 5, 2027.

It is pertinent to note that Max Life Insurance Company Ltd was rebranded as Axis Max Life Insurance Ltd in 2024.
Shares of MFSL ended today’s trading 2.3% lower at ₹1,706.9 on the NSE. The shares have given a YTD return of around 2%.
