The Board will evaluate the buyback proposal along with matters necessary and incidental to the same, in accordance with applicable provisions under the Companies Act, 2013, including rules framed thereunder, the SEBI (Buy-back of Securities) Regulations, 2018, and other applicable laws.
The company also stated that the trading window, as per the SEBI (Prohibition of Insider Trading) Regulations, 2015, shall remain closed till Thursday, May 21, 2026, and will reopen for trading on Friday, May 22, 2026, for all directors and designated persons. It added that the trading window shall also be deemed closed in respect of the proposed buyback, in line with applicable regulations.The disclosure was made as a prior intimation to the stock exchanges in compliance with regulatory requirements.
